DIGITAL WALLET TERMS AND CONDITIONS

These Terms and Conditions for the use of Cards with Digital Wallets (the “Wallet Terms”) govern your use of a Card issued by the Issuer under the Spendbase programme when such Card is added to and used through a Digital Wallet (including, without limitation, Apple Pay and Google Pay).

These Wallet Terms form an integral part of, and must be read together with, the Cardholder Terms and Conditions governing your Account and Card (the “Cardholder Terms”).

By adding your Card to a Digital Wallet, activating or using a Digital Wallet with your Card, or otherwise enabling Tokenisation functionality through your Account or Device, you confirm that you have read, understood, and agree to be bound by these Wallet Terms.

Where the functionality to add your Card to a Digital Wallet is made available through your Account or application, your confirmation may be provided through electronic acceptance mechanisms (including, for example, clicking “agree”, “continue”, or similar actions).

You acknowledge that such actions constitute your legally binding acceptance of these Wallet Terms and are equivalent to a written signature.

We may retain records of your acceptance, including timestamps, Device identifiers, and related technical data, as evidence of your agreement.

If you do not agree to these Wallet Terms, you must not add your Card to a Digital Wallet or use your Card through a Digital Wallet.

1. PARTIES AND ROLES

1.1 The Spendbase programme is operated by Partnerway OÜ acting as programme manager (“Programme Manager”), which provides you with access to your Account, Card functionality, and related services.

1.2 The Digital Wallet is provided by an independent third-party provider (the “Wallet Provider”), which enables you to store a digital version of your Card on a compatible device and initiate transactions using that device.

1.3 The Issuer and the Programme Manager are responsible for enabling your Card to be used within a Digital Wallet and for processing transactions made using your Card.

1.4 The Wallet Provider is solely responsible for the Digital Wallet, including its functionality, availability, security features, and any additional services it provides.

2. SCOPE AND APPLICATION

2.1 These Wallet Terms apply when you add your Card to a Digital Wallet and use your Card through any device on which a Digital Wallet is enabled.

2.2 When your Card is added to a Digital Wallet, a digital representation of your Card (a “Token”) is created. The Token replaces your Card details when initiating transactions and is linked to your Card account.

2.3 Your use of the Digital Wallet is subject to: (a) these Wallet Terms; (b) the Cardholder Terms; and (c) the terms and conditions of the Wallet Provider.

2.4 In the event of any inconsistency between these Wallet Terms and the Cardholder Terms, these Wallet Terms shall prevail solely in relation to the use of your Card through a Digital Wallet.

2.5 We do not provide the Digital Wallet and do not control how the Digital Wallet operates. We are responsible only for securely enabling your Card to be used through tokenization and for supporting the processing of transactions initiated using your Card.

3. ELIGIBILITY, PROVISIONING, AND TOKEN ACTIVATION

3.1 In order to add your Card to a Digital Wallet, your Account and Card must be active, in good standing, and not subject to any restriction, suspension, or termination.

3.2 We may require you to complete identity verification, authentication procedures, or additional security checks before your Card can be added to a Digital Wallet. This may include verification through your Account, one-time passcodes, or other methods determined by us.

3.3 The process of adding your Card to a Digital Wallet is referred to as “provisioning”. During provisioning, a Token linked to your Card will be created and stored on your Device.

3.4 We reserve the right, at our sole discretion, to approve or decline any request to add a Card to a Digital Wallet, including where: (a) we are unable to verify your identity or authentication credentials; (b) your Account or Card presents a fraud, financial crime, or security risk; (c) the Device or Digital Wallet does not meet our security or technical requirements; or (d) we are required to do so to comply with applicable law, regulation, or card scheme rules.

3.5 We may limit the number of Devices, Digital Wallets, or Tokens associated with your Card at any time.

3.6 A Token is specific to the device and Digital Wallet to which it is provisioned and may not be transferred to another device or user.

3.7 You must not add your Card to a Digital Wallet on a Device that you do not own or control.

3.8 You are responsible for ensuring that your Device is compatible with the Digital Wallet and meets the security requirements specified by the Wallet Provider and by us.

3.9 We may, at any time and without prior notice, where reasonably necessary, suspend, restrict, or deactivate a Token or prevent further provisioning of your Card to a Digital Wallet where we consider it appropriate for security, fraud prevention, or regulatory reasons.

3.10 You may only add your Card to a Digital Wallet for legitimate business purposes in accordance with the Cardholder Terms. You must not allow any third party, including employees or contractors, to use a Digital Wallet linked to your Card unless expressly authorised under your Account permissions and internal controls.

4. USE OF YOUR CARD THROUGH A DIGITAL WALLET

4.1 Once your Card has been successfully added to a Digital Wallet, you may use the Token to initiate payment transactions at merchants that accept the relevant Digital Wallet.

4.2 Transactions initiated through a Digital Wallet are processed in the same manner as transactions made using your Card and are subject to the Cardholder Terms.

4.3 A transaction initiated through a Digital Wallet will be considered authorised by you where it is initiated using a Device on which your Card has been provisioned and authenticated using the security credentials required by the Digital Wallet or the Device, including, without limitation: (a) Device passcode; (b) biometric authentication (such as fingerprint or facial recognition); or (c) any other authentication method enabled on your Device.

4.4 You acknowledge and agree that the use of biometric authentication or device-based credentials constitutes your consent to the transaction in the same way as entering a Card PIN or using other authentication methods under the Cardholder Terms.

4.5 You are responsible for ensuring that only your own biometric identifiers are registered on your Device and that no other person is able to authenticate transactions using your Device.

4.6 We do not guarantee that a Digital Wallet will be accepted at all merchants or for all types of transactions. Certain transactions, merchants, or jurisdictions may not support payments made through a Digital Wallet.

4.7 You may not use your Card through a Digital Wallet for any unlawful purpose or in a manner that breaches the Cardholder Terms, applicable law, or card scheme rules.

4.8 We may apply transaction limits, velocity controls, or other restrictions to transactions made through a Digital Wallet, which may differ from those applicable to your Card.

4.9 We may decline or block any transaction initiated through a Digital Wallet where we reasonably consider it necessary for fraud prevention, security, or compliance with applicable law or regulatory requirements.

4.10 Authentication of a transaction through a Digital Wallet using D-based credentials (including biometric authentication or passcode) constitutes strong customer authentication for the purposes of applicable law, even where such authentication is performed by the Wallet Provider on our behalf.

5. SECURITY AND YOUR OBLIGATIONS

5.1 You must take all reasonable steps to keep your Card, Device, and Digital Wallet secure at all times. This includes complying with the security requirements set out in the Cardholder Terms and in these Wallet Terms.

5.2 Without limitation, you must: (a) ensure that only you have access to the Device on which your Card is provisioned; (b) use appropriate security measures on your Device, including a secure passcode, biometric authentication, or other access controls; (c) keep your Device, passcodes, and security credentials secure and not disclose them to any other person; (d) ensure that only your own biometric identifiers are registered on your Device; (e) not disable, bypass, or weaken any security features of your Device or Digital Wallet (including, for example, removing Device protections or using modified, rooted, or “jailbroken” devices, which shall be treated as a compromised Device); (f) keep your Device operating system and applications up to date, including installing security updates; and (g) maintain appropriate security protections on your Device, including anti-malware or equivalent safeguards where applicable.

5.3 You must not allow any other person to use your Card through a Digital Wallet or to access a Device on which your Card has been provisioned.

5.4 You must immediately notify us, using the contact details provided in the Cardholder Terms, if: (a) your Device is lost, stolen, or compromised; (b) you suspect that your Card, Token, D, or Digital Wallet has been used without your authorisation; (c) you become aware of any unauthorised access to your device, Digital Wallet, or security credentials; or (d) your Device is disconnected, replaced, or otherwise no longer under your control.

5.5 You must take immediate steps to secure your Device and Digital Wallet in the event of any of the circumstances described in clause 5.4, including disabling the Digital Wallet, removing your Card from the Device, or contacting the Wallet Provider.

5.6 Failure to comply with this section may be treated as gross negligence or a failure to keep your personalised security credentials safe for the purposes of applicable law, and may result in you being liable for losses arising from unauthorised transactions to the maximum extent permitted by law.

6. LIABILITY FOR UNAUTHORISED TRANSACTIONS

6.1 Your liability for unauthorised transactions made using your Card through a Digital Wallet will be determined in accordance with applicable law and the Cardholder Terms.

6.2 A transaction initiated through a Digital Wallet will be treated as authorised where it is carried out using a Device on which your Card has been provisioned and authenticated in accordance with clause 4.3, unless you notify us without undue delay that the transaction was not authorised.

6.3 Where you deny having authorised a transaction, we may require you to provide information reasonably requested by us to investigate the transaction, including details relating to your Device, use of the Digital Wallet, and the circumstances of the transaction.

6.4 You will be liable for losses arising from unauthorised transactions to the extent permitted by applicable law where such losses result from: (a) your failure to comply with the security obligations set out in clause 5; (b) your acting fraudulently; or (c) your intentional or grossly negligent failure to keep your personalised security credentials, Device, or Digital Wallet secure.

6.5 Where you have not acted fraudulently and have not intentionally or with gross negligence failed to comply with your obligations, your liability for unauthorised transactions will be limited in accordance with applicable law.

6.6 You must notify us of any unauthorised or incorrectly executed transaction without undue delay after becoming aware of it and, in any event, within the time limits specified in the Cardholder Terms.

6.7 Where a transaction is executed using a Digital Wallet, the use of device-based authentication (including biometric authentication) will be taken into account when assessing whether the transaction was authorised and whether you have complied with your obligations under these Wallet Terms, including whether strong customer authentication has been satisfied.

6.8 Nothing in these Wallet Terms limits your statutory rights under applicable law, including your rights in relation to unauthorised or incorrectly executed payment transactions.

7. FEES AND CHARGES

7.1 We do not charge a fee for adding your Card to a Digital Wallet or for the creation of a Token.

7.2 All fees and charges applicable to your use of the Card, including transactions made through a Digital Wallet, are set out in the Cardholder Terms.

7.3 The use of a Digital Wallet may be subject to additional fees or charges imposed by the Wallet Provider or third parties, including, for example, mobile network operators or data service providers. We do not control and are not responsible for any such fees or charges.

7.4 You are responsible for any fees, charges, or costs imposed by third parties in connection with your use of a Digital Wallet.

8. DATA SHARING, PRIVACY AND TOKENIZATION DATA

8.1 In order to enable your Card to be added to and used through a Digital Wallet, we may collect, use, and share your personal data and Card-related information with the Wallet Provider and relevant payment scheme operators.

8.2 This may include, without limitation: (a) your name and contact details; (b) Card details and Token-related information; (c) transaction data relating to your use of the Card through a Digital Wallet; (d) information about your Device, where required to support provisioning, authentication, or security controls; and (e) information necessary to comply with applicable law, regulation, or card scheme requirements.

8.3 Such data sharing is necessary to: (a) provision and maintain the Token linked to your Card; (b) enable authentication and secure processing of transactions; (c) prevent fraud and ensure the security of your Card and Digital Wallet; and (d) comply with legal and regulatory obligations.

8.4 The Wallet Provider acts as an independent controller of your personal data for the purposes of providing the Digital Wallet and related services. We are not responsible for, and have no control over, how the Wallet Provider collects, uses, or processes your personal data once it has been shared with them in accordance with these Wallet Terms.

8.5 You acknowledge that the Wallet Provider may collect additional information directly from your Device or through your use of the Digital Wallet, including information that is not shared with us.

8.6 Our processing of your personal data in connection with the use of your Card through a Digital Wallet is carried out in accordance with the applicable privacy policy referred to in the Cardholder Terms.

8.7 We may continue to process Token-related and transaction data after a Token has been suspended or removed, to the extent necessary for record-keeping, fraud prevention, dispute resolution, and compliance with legal obligations.

8.8 The availability and operation of Tokenisation services depend on the participation of payment scheme operators and Wallet Providers. We may share information and take actions as required by such parties in accordance with applicable scheme rules and technical requirements.

9. SUSPENSION, RESTRICTION AND DE-TOKENISATION

9.1 We may, at any time and without prior notice where reasonably necessary, suspend, restrict, deactivate, or delete any Token associated with your Card (including on a specific Device) where we consider it appropriate for security, fraud prevention, or compliance purposes.

9.2 Without limitation, we may take any of the actions described in clause 9.1 where: (a) we reasonably suspect unauthorised or fraudulent use of your Card, Token, Device, or Digital Wallet; (b) your Card or Account is blocked, suspended, cancelled, or otherwise restricted; (c) we identify a security risk affecting your Card, Token, Device, Digital Wallet, or our systems; (d) we are unable to verify your identity or authentication credentials; (e) we suspect that your Device or Digital Wallet has been compromised; (f) we are required to do so to comply with applicable law, regulation, card scheme rules, or instructions from competent authorities; or (g) you breach these Wallet Terms or the Cardholder Terms.

9.3 Suspension or deactivation of a Token does not necessarily result in the suspension or cancellation of your Card. Your Card may continue to be used outside of the Digital Wallet, unless otherwise restricted.

9.4 Where reasonably practicable, we will notify you of any action taken under this section and the reasons for it. However, we may delay or withhold such notification where providing it would compromise security or be unlawful.

9.5 You may request the removal of your Card from a Digital Wallet at any time by following the instructions provided by the Wallet Provider or through your Account.

9.6 We may prevent you from adding your Card to a Digital Wallet, or from re-provisioning a Token, where we consider it appropriate for security, risk management, or regulatory reasons.

9.7 Tokens may be automatically updated, replaced, or deactivated where your Card is renewed, replaced, or otherwise modified. We are not responsible for any temporary interruption in Digital Wallet functionality resulting from such lifecycle events

10. DIGITAL WALLET PROVIDER DISCLAIMER

10.1 The Digital Wallet is provided by an independent third-party Wallet Provider. We do not own, operate, or control the Digital Wallet and are not responsible for its availability, functionality, or performance.

10.2 We are not responsible for any loss, damage, or disruption arising from: (a) the use, inability to use, or unavailability of a Digital Wallet; (b) any malfunction, error, or interruption of the Digital Wallet or your Device; (c) any failure of the Wallet Provider or its systems; or (d) any act or omission of the Wallet Provider or any third party involved in the operation of the Digital Wallet.

10.3 We do not guarantee that the Digital Wallet will be available at all times or that it will be accepted by all merchants, terminals, or service providers.

10.4 You are responsible for complying with the terms and conditions of the Wallet Provider when using a Digital Wallet.

10.5 Nothing in these Wallet Terms limits or excludes any liability that cannot be limited or excluded under applicable law.

10.6 The availability of a Digital Wallet may vary by jurisdiction, Device type, and regulatory environment. We do not guarantee that a Digital Wallet will be available or supported in your location or for all types of transactions.

11. CHANGES TO THESE WALLET TERMS

11.1 We may amend these Wallet Terms from time to time for any valid reason, including to reflect changes in applicable law, regulation, card scheme rules, or the functionality of the Digital Wallet.

11.2 Where required by applicable law, we will notify you of any material changes in advance.

11.3 If you do not agree to any changes, you must stop using your Card through the Digital Wallet and remove your Card from the Digital Wallet. Continued use of your Card through a Digital Wallet after the effective date of the changes will constitute your acceptance of the updated Wallet Terms.

12. TERMINATION AND DIGITAL WALLET AVAILABILITY

12.1 We may enable or discontinue support for any Digital Wallet at any time.

12.2 We may suspend or terminate your ability to use your Card with a Digital Wallet in accordance with these Wallet Terms or the Cardholder Terms.

12.3 Termination or suspension of your Card or Account will result in the automatic suspension or deactivation of any associated Tokens.

12.4 You may stop using your Card through a Digital Wallet at any time by removing your Card from the Digital Wallet or by contacting us to block or cancel your Card.

13. DEFINITIONS

In these Wallet Terms, the following definitions apply:

Account” means the IBAN/s and electronic money account issued to You and  associated with Your Card/s.

Card” means the payment card issued to you under the Cardholder Terms, including any virtual or physical card.

Cardholder Terms” means the terms and conditions governing your Account and Card.

Device” means a mobile phone, tablet, wearable, or other electronic device on which a Digital Wallet can be installed and used.

Digital Wallet” means a third-party application or service (including, without limitation, Apple Pay and Google Pay) that enables you to store a digital version of your Card and initiate payment transactions using a Device.

Issuer” means Moorwand Ltd (registered number 08491211), 3 Lloyds Avenue, London, EC3N 3DS partnering with Via Payments UAB (registered number 304531663) Konstitucijos pr.7 Vilnius, Lithuania, pursuant to a licence from Mastercard International Incorporated.

Token” means a digital representation of your Card that is created when your Card is added to a Digital Wallet and that is used to initiate transactions instead of your Card details.

Tokenisation” means the process of replacing your Card details with a Token for the purpose of securely processing transactions.

Wallet Provider” means the provider of a Digital Wallet.

we”, “us” or “our” means Moorwand Ltd as issuer Partnerway OÜ as programme manager, acting in connection with the Spendbase programme.

you” or “your” means the Cardholder.
